The Hardware Mart operates strictly as a B2B Lead Generation, Discovery, and Digital Networking Platform. Our scope of work, service commitments, and professional liability are strictly and exclusively limited to generating buyer inquiries, verifying contact credentials, and providing / assigning these verified leads to registered suppliers.
📌 Clear Demarcation of Work Scope & Responsibilities:
- 1. Our Sole Scope of Work: We generate genuine buyer leads across digital campaigns, trade channels, and directory inquiries. We verify the buyer's basic contact details and product requirements to the best of our technical capability and provide/assign these leads to registered sellers and suppliers. Our contractual responsibility concludes upon successful lead delivery.
- 2. Post-Lead Client Conversations & Conversion (Supplier's Responsibility): Once a lead is provided or assigned, all subsequent client conversations, quotation discussions, business negotiations, deal closings, sample approvals, and commercial agreements are 100% the sole responsibility of the supplier/seller. The Hardware Mart does not guarantee deal conversion rates or customer order sizes.
- 3. Zero Payment Guarantee & No Credit Liability: The Hardware Mart does NOT provide any payment guarantee, payment security, credit insurance, financial escrow, or recovery services. Any business transaction, credit period, advance token, or post-dated payment terms agreed upon between the buyer and the supplier are strictly at the supplier's independent commercial discretion and financial risk.
- 4. After-Sales, Product Quality & Order Execution: Product manufacturing, quality assurance, packaging, transit insurance, on-time delivery, warranties, replacements, and after-sales customer service are strictly between the supplier and the buyer. The Hardware Mart is not a merchant, distributor, or guarantor.
- 5. Zero Liability for Commercial Disputes: The Hardware Mart shall have NO financial liability, legal responsibility, or obligation to mediate, refund, or compensate for any business disputes, non-payment, default, fraud, bounced cheques, delayed remittances, or commercial losses arising between any buyer and supplier.
1. Acceptance of Terms
By accessing, browsing, registering an account, subscribing to lead packages, or using any services provided by The Hardware Mart ("Platform", "we", "us", or "our"), you ("User", "Supplier", "Buyer", or "Client") acknowledge that you have read, understood, and irrevocably agreed to be bound by these Terms of Service. If you do not agree to these terms, you must refrain from using the platform.
2. Nature of the B2B Marketplace Platform
The Hardware Mart operates exclusively as an online business-to-business (B2B) directory and networking marketplace connecting hardware manufacturers, distributors, dealers, wholesalers, retailers, architects, contractors, and buyers. The Hardware Mart is an independent intermediary and technology platform, not an auctioneer, manufacturer, logistics partner, or party to individual business contracts.
3. Scope of Lead Generation & Verification Services
For suppliers and sellers subscribed to lead generation packages or receiving broadcast leads:
- Lead Generation: Leads are acquired through digital ad campaigns, catalog search queries, RFQs, trade inquiries, and verified B2B customer onboarding channels.
- Lead Verification: The Hardware Mart employs automated and telecaller validation processes to verify phone numbers, buyer identities, and requested product categories at the time of inquiry.
- No Conversion Guarantee: While we strive to provide high-intent leads, buyer business decisions depend entirely on pricing, terms, product quality, supplier responsiveness, and market factors beyond our control. We do not guarantee that any lead will culminate in a purchase order or revenue.
- Exclusivity & Quotas: Package lead quotas represent verified lead assignments as specified in the purchased plan. Once a lead quota is fulfilled, further lead assignments require package renewal.
4. Post-Lead Negotiations, Transactions & Payment Disclaimer
All commercial interactions subsequent to lead delivery are exclusively between the supplier and the buyer. The Hardware Mart expressly disclaims all responsibility and liability for:
- Client negotiations, quotations, discount terms, or supply agreements.
- Credit approvals, payment collections, advance deposits, or realization of cheques.
- Payment defaults, delayed settlements, bad debts, or insolvency of any party.
- Product specifications, defects, delivery delays, damage in transit, or return requests.
Suppliers are strongly advised to perform their own due diligence, credit checks, KYC verification, and formal contract execution prior to extending credit or shipping goods to any buyer.
5. User Accounts & Security
Registered suppliers and buyers are solely responsible for maintaining the confidentiality of their login credentials, passwords, and API tokens. You agree to notify us immediately of any unauthorized access or security breach. Any actions taken through your account shall be deemed your authorized actions.
6. Company Listings, Catalogs & Content
Suppliers are solely responsible for the authenticity, accuracy, and legality of company profiles, GST numbers, product listings, pricing, promotional banners, and specifications submitted to the directory. The Hardware Mart reserves the right to review, edit, or delist any listing that violates intellectual property rights, contains false information, or breaches regulatory standards.
7. Prohibited Conduct
Users agree not to:
- Engage in deceptive, abusive, or fraudulent trade practices.
- Harass, spam, or transmit malicious content to leads or registered members.
- Reverse-engineer, scrape, or extract platform data for unauthorized commercial reuse.
- Impersonate any person, business entity, or platform representative.
8. Limitation of Liability
To the maximum extent permitted by applicable law, The Hardware Mart, its founders, directors, employees, and agents shall in no event be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, commercial losses, data loss, or business interruption, arising out of or in connection with the use of the platform, lead services, or transactions conducted between users.
9. Termination & Suspension
We reserve the right to suspend, deactivate, or terminate user access, supplier packages, or directory listings immediately, without liability, in the event of any breach of these Terms of Service, non-payment of subscription fees, suspected fraud, or upon receiving credible customer complaints.
10. Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any legal disputes or claims arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Rajkot, Gujarat, India.
